Arrival at First Tracks is a pleasant affair. A long, wooden porch leads you along stacked firewood and reclaimed barn wood exteriors to the home’s entrance. As you open the door, you are met with the sounds of Fish Creek running next to the lodge, and you know you’ve arrived at your exclusive retreat. Your entry is greeted by an expansive, open floor plan merging the great room, dining room, and kitchen into a singular space. Foremost among the visual splendors of the great room are its vaulted ceiling and grand windows. The vertical space of the room makes it feel boundless, and the floor-to-ceiling windows provide the immense views of the surrounding mountains. Beyond the aesthetic appeal of the room, you will find plush armchairs and sofas surrounding a wood fireplace. First Tracks features two suites, a king bedroom, and a twin bedroom. The downstairs suite sits in central area of the home. Entering the suite first leads you to the bathroom and the walk-in closet. The en suite bathroom is served by a recessed tub, rainfall shower, and dual vanities. Further down is the king bedroom, framed by thick barn wood beams across the ceiling and festive Western décor. The downstairs suite is also served by a private patio, perfect for romantic sunset together. 
The other bedrooms are all found upstairs. The upper level suite continues a variation on the boundless space of the great room with its own high ceilings and massive wooden beams over a king bed. A gas fireplace helps keep the room warm on cold winter nights. The en suite bathroom lies past the walk-in closet. RENTAL AGREEMENT
1. Rentals. All bookings are subject to Manager approval within three business days of
submitting your request. Manager may cancel booking with or without cause within 72
hours of submitting your request; in such instances your card will not be charged by
Manager. Guest hereby acknowledges that service fees charged by VRBO are not part of
Manager's fee and are subject to VRBO's terms and conditions. Guest is hereby advised
to not make travel arrangements prior to confirmation from Manager.
2. Damage Deposit. The Damage Deposit shall be held in an interest-bearing account with
Manager as the interest beneficiary. The Damage Deposit may be used by Manager for
purposes allowed by Wyoming law (e.g. (1) payment of accrued rent, (2) damages to the
Property beyond reasonable wear and tear, (3) the cost to clean the Property to the
condition at the beginning of this rental agreement; and (4) other costs described this
Agreement). Any balance of the Damage Deposit will be returned to Guest, with an
itemized statement showing those amounts deducted, no later than 30 days following
conclusion of the Rental Term, unless the extent of any property damage cannot
reasonably be determined within 30 days, in which case the balance of the Damage
Deposit will be returned as soon as the extent of the damage has been determined.
3. Payments to Manager: Guest payments made via credit card carry an additional
transaction fee; which is charged by a third party vendor and is completely nonrefundable to Guest. Guest authorizes Manager to charge amounts due under this
Agreement to Guest's credit card should any of Guest's other payment methods fail to
result in payment being made to Manager.
4. Incidental Expenses. Manager is authorized to deduct from the Damage Deposit, the cost
of any and all charges for activities, equipment rental, and/or fines imposed by the City,
County, State, or applicable Homeowner's Association resulting from Guest’s or their
family members’ or invitees’ violation of any law, ordinance, rule or regulation
(“Incidental Expenses”). Should Incidental Expenses exceed the amount of the Damage
Deposit, such expenses shall be charged to Guest’s credit card.
5. Check-in and Check-out Times. Check-in time is no earlier than 4:00 p.m. on the first day
of the Rental Term. Check-out Time is no later than 10:00 a.m. on the last day of the
Rental Term. Arrivals earlier than the foregoing check-in time may not be accommodated
or will be subject to the charge of an additional night's stay at Manager's discretion. A
$100 per hour late fee will be charged for every hour of Guest’s occupancy beyond the
foregoing check-out time, unless other arrangements have been made in writing prior to
the check-out time.
6. Payments are Non-Refundable. All payments under this Agreement are non-refundable,
regardless of whether Guest arrives at the Property after the commencement of the
Rental Term, leaves the Property prior to the end of the Rental Term, fails to occupy the
Property during the Rental Term, or cancels their reservation altogether, whether due to
weather, travel delays, sickness, or any other reason.
7. Cancellations by Guest. Subject to the provisions of paragraph 6, and subject to the
following provisions, Guest may cancel Guest’s reservation. Guest shall deliver to
Manager written notice of Guest’s desire to cancel Guest’s reservation. Upon Guest’s
delivery of written request to cancel, Guest shall sign and deliver to Manager a
Cancellation Agreement in the form provided by Manager and shall deliver to Manager
any balance due under this Agreement. Guest’s payment in full for Guest’s Reservation
shall be a precondition to Manager advertising to other potential renters that the
Property is available for the same time period and for the same amount as specified in
this Agreement. If Manager is able to secure a renter for all or part of the time period and
for the all or part of the amount specified in this Agreement (a “Replacement
Reservation”), Manager shall distribute any applicable refund to Guest within thirty (30)
days of the conclusion of the Replacement Reservation. The foregoing provision is not a
representation or warranty to Guest that Manager will be able to secure a Replacement
Reservation, and Guest understands that Guest may not receive any refund of sums paid
by Guest for Guest’s reservation.
8. Restrictions on Use. Use of the Property is subject to the following restrictions. Guest is
required to initial each of the following to memorialize Guest’s understanding and
acknowledgment of each of the following restrictions:
A. Number of Persons. The total number of persons occupying the Property shall not
exceed the sleeping capacity of the home, and the total number of persons in the
Property at any one time for a dinner, party, or any other purpose shall not exceed
one-and-a-half times the sleeping capacity of the home.
B. Incidentals for Access to Property. Manager will provide Guest (as applicable) security
codes, keys, and/or garage or gate openers to allow Guest to access the Property.
Guest shall not alter, rekey, install any locks or alter in any way security codes or
systems. Guest shall return all keys, codes, garage or gate openers in proper working
order to Manager at the end of the Rental Term.
C. No Temporary Structures. or No tents, teepees, campers, RV’s, or temporary shelters
of any kind may be erected on the grounds of the Property.
D. Furniture, Fixtures, and Furnishings. Under no circumstances shall guest move or
remove any furniture, fixtures, and/or furnishing from the property.
E. Parking. The total number of motor vehicles allowed on the Property for Guest and
Guest’s invitees shall not exceed two (2). Guest shall be provided access to one (1)
garage bay for parking. Guest or Guest’s invitees shall not park on subdivision streets,
lawns or any area other than the paved driveway of the residence on the Property.
Any vehicles of Guest or Guest’s invitees parked outside of the paved driveway will be
towed at Guest's expense.
F. Guest is hereby notified that Property is not air-conditioned
G. Heating and Cooling. Guest agrees to always maintain an internal temperature in the
residential structure(s) that will prevent water and sewer pipes from freezing.
H. Pets. No pets of any kind are allowed in or on the Property.
I. Smoking and/or illegal substances. No smoking or use of illegal substances is allowed
on the Property.
J. Damage to the Property. Guest agrees to leave the Property in the same condition in
which it was provided to Guest. In the event there is damage to or theft from the
Property during or as a result of Guest Parties’ occupancy under this Agreement, such
damage shall be repaired (including any additional cleaning fees) at Guest’s sole cost,
either as a deduction from the Damage Deposit, or via charge to Guest’s credit card.
K. Sundries. Any foodstuffs or supplies located in or on the Property shall be used at the
sole risk of Guest Parties, and Guest agrees to indemnify, defend and hold Manager
and Owner harmless from any and all claims arising from the use of such supplies or
foodstuffs by Guest or any other Guest Party.
L. Compliance with Laws and Regulations. Guest agrees to comply with all sanitary laws,
ordinances, rules and orders of appropriate governmental authorities affecting the
cleanliness, occupancy and preservation of the Property during Guest’s occupation of
the Property, and all Covenants, neighborhood rules and regulations etc. Manager
has provided Guest a copy of any neighborhood rules and regulations applicable to
the Property. Guest acknowledges receipt of same and that Guest has read them.
M. Non-disturbance of Neighboring Properties. The property is located in a residential
neighborhood. Guest agrees to use the Property in a manner so as not to disturb or
be a nuisance to neighboring properties.
N. Agreement is Not Assignable. This Agreement may not be assigned by Guest to any
third party without the prior written consent of Manager, which may be withheld in
Manager’s discretion; nor may Guest utilize the Property for anything other than the
personal residential use and enjoyment of Guest, and Guest’s family, subject to the
limitations of paragraph 7.A above. The Property may only be occupied when Guest
or a member of Guest’s immediate family is present. Occupancy by others is
specifically prohibited unless Guest or a member of Guest’s immediate family is
present on the Property.
O. Agreement to Inform Occupants and Users of the Property. The undersigned Guest
agrees to inform all Guest Parties (including minors) about the applicable terms,
conditions and restrictions contained in this Agreement, and to be liable to pay and
all costs associated with violation of said terms, conditions and restrictions by any
Guest Party.
GUEST ACKNOWLEDGES THAT VIOLATION OF ANY OF THE FOREGOING RESTRICTIONS WILL
CONSTITUTE A MATERIAL A BREACH OF THIS AGREEMENT THAT MAY RESULT IN TERMINATION OF THIS
AGREEMENT, IMMEDIATE EVICTION FROM THE PROPERTY, FORFEITURE OF THE DAMAGE DEPOSIT,
AND ADDITIONAL CHARGES MADE TO GUEST’S CREDIT CARD.
Manager’s Right to Access the Property. Manager and/or its agents may enter the Property and
residence upon reasonable advance notice to Guest for purposes of inspection related to the
enforcement of the terms of this Agreement, or immediately without prior notice to Guest in the
event of an emergency.
Process in Event of Listing or Sale of Property. After Guest’s reservation has been confirmed,
should the Owner enter into an agreement to list the Property for sale with a licensed Realtor, or
enter in an agreement to sell the Property with an anticipated closing date on or before the
Departure Date, Guest’s reservation shall continue to be enforceable unless (a) Guest agrees to
be relocated to a comparable property for the same Rental Amount (Manager will use reasonable
efforts to relocate Guest, but cannot guarantee that any comparable property will be available);
or (b) Owner pays Guest to cancel Guest’s reservation. Should Guest choose to occupy the
Property while the Property is listed for sale or under contract for sale, Guest agrees to allow
Realtor’s to show the Property to potential buyers, or for a prospective buyer under contract to
access the property to conduct due diligence investigations, between the hours of 9:00 am and
5:00 pm, provided Guest is given at least 24 hours’ notice of any such showings or due diligence
investigations access.
Non-Liability of Manager and Owner. Guest agrees to indemnify, defend and hold the Manager,
Owner and all of their shareholders, members, officers, employees and insurers
(“Manager/Owner Parties”) harmless from and against any and all liabilities, damages, claims,
causes of action, and all related costs and expenses, including reasonable attorney's fees, arising
out of use or occupancy of the Property by Guest Parties; or for any injury (or death) to persons
resulting from any cause whatsoever, and further agrees that the Manager/Owner Parties shall
not be liable for any loss or damage to the personal property of any Guest Party (whether through
use, theft or otherwise), except for such loss or damage caused by Manager’s gross negligence,
fraud or willful misconduct. Guest and all Guest Parties are solely responsible for insuring their
interests, including against damage or loss to the their personal property. Guest agrees that
neither Manager or Owner shall be liable for any claims for lost profits or other consequential
damages under any circumstances, and hereby waive any such claims. The provisions of this
paragraph shall survive termination of this Agreement, for any reason.
Miscellaneous Provisions.
A. Time of the Essence. Guest and Manager agree that time is of the essence for the
performance of each and every covenant and the satisfaction of each and every
condition contained in this Agreement.
B. Entire Agreement. This Agreement constitutes the entire understanding among and
between the Parties hereto concerning the subject matter set forth herein, and this
Agreement supersedes any and all prior understandings, written or oral, and any and
all contemporaneous oral understandings, pertain ng to the subject matter set forth
herein.
C. Modification. This Agreement may only be modified or amended in a writing dated
and signed by both Parties.
D. Construction and Interpretation. This Agreement shall be construed and interpreted
in accordance with the substantive laws of the State of Wyoming, without reference
to the principles of conflict of laws of such State. The Agreement shall be construed
as though it was drafted by all Parties hereto, and not against any particular Party.
E. Descriptive Headings. The descriptive headings of the several sections contained in
this Agreement are included for convenience only and shall not control or affect the
meaning or construction of any of the provisions hereof.
F. Severability. In the event that any provision or provisions of this Agreement are for
any reason unenforceable, invalid, or voluntarily waived, it is the specific intent of the
Parties that the remaining provisions hereof shall continue and be and remain in full
force and effect.
G. Binding Effect. This Agreement shall be binding upon and inure to the benefit of the
Parties and their respective agents, predecessors, successors, and permitted assigns.
H. No Waiver. No waiver by Manager of any breach of any of the provisions of this
Agreement required to be performed by Guest shall be effective unless in writing, and
any such waiver shall not bar the rights of Manager to avail itself of any subsequent
breach of any such provision at any time thereafter.
I. Dispute Resolution – Jurisdiction and Venue - Attorney’s Fees and Costs. Any dispute
arising under this Agreement shall be determined by a court of competent jurisdiction
in Teton County, Wyoming. The Parties hereby submit to this choice of jurisdiction
and venue and expressly waive any right they may have to assert an alternative
jurisdiction or venue. The prevailing Party, as determined by the judge, shall be
entitled to receive from the other Party all costs and expenses, including, without
limitations, reasonable attorney’s fees, that may be incurred by the prevailing Party
in connection with the enforcement of such Party’s rights hereunder.
J. Multiple Counterparts. This Agreement may be executed in a number of identical
counterparts, each of which, for all purposes, is to be deemed as original, and all of
which constitute, collectively, one agreement; but in making proof of this Agreement,
it shall not be necessary to produce or account for more than one such counterpart.
K. Authorization. The undersigned represent and warrant that they are authorized to
execute this Agreement on behalf of their respective entities.
L. Notices. Any notice that either Party hereto may be required or may wish to give to
the other in connection with this Agreement shall be given by addressing the notice
to the Parties at the contact information set forth below with their signatures (or at
such other addresses as may hereafter be designated in writing by the Parties), and
delivering such notice by either:
i. Personal delivery (via courier or otherwise), provided that written receipt
of delivery date and time is obtained; or
ii. Depositing such notices first class postage prepaid, certified mail-return
receipt requested, in the United States mail, or
iii. Delivery toll free or other charges prepaid to an overnight delivery service
(e.g. Federal Express), or
iv. By facsimile or email transmission, provided confirmation of delivery date
and time is obtained.
Notice by personal delivery shall be deemed delivered upon actual receipt thereof
(or if receipt is refused, then upon attempted delivery). Notice by facsimile or
email in PDF format shall be deemed delivered the date of confirmation of
delivery. Notice by certified mail shall be deemed delivered three business days
after the postmarked date of mailing of same. Notice by overnight delivery service
shall be deemed delivered upon delivery thereof to the address to which it is
addressed (or if receipt is refused, then upon attempted delivery)
